General Advertising Services Terms & Conditions (Summarised)

Parties:
Service Provider: Studio Lore, (“the Agency”).
Client: The entity or individual engaging the services of Studio Lore for advertising purposes (“the Client”).

Background:
Studio Lore is in the business of creating and delivering advertising, online, and direct marketing communications. The Client wishes to engage Studio Lore to provide such services under the terms outlined herein.

1. Definitions

  • “Services” include all advertising, marketing, and related services provided by the Agency.
  • “Campaign Material” encompasses advertising material, ideas, designs, and other marketing communications created by the Agency.
  • “Confidential Information” refers to non-public information disclosed between the parties in relation to the Services.
  • “Intellectual Property Rights” include rights in copyrights, patents, trademarks, and similar rights in the Campaign Material.

2. Appointment
The Client appoints Studio Lore to provide the Services on a non-exclusive basis, subject to these Terms & Conditions.

3. Services
Studio Lore will deliver the Services with professional skill and care, in compliance with applicable laws and any specific directions provided by the Client.

4. Campaign and Approval
Studio Lore will develop and initiate campaign plans autonomously, outlining objectives, schedules, and estimated costs for the Client’s review. While the Client’s feedback is valued and will be considered to ensure alignment with overall goals, pre-approval for each campaign is not required, facilitating a more dynamic and efficient execution process.

5. Payments
The Client agrees to pay Studio Lore a fee for the Services as agreed upon, along with any approved third-party expenses necessary for the provision of the Services.

6. Intellectual Property
All Intellectual Property Rights in the Campaign Material produced for the Client shall be owned by the Client, subject to payment for the Services.

7. Confidentiality
Both parties agree to maintain the confidentiality of the Confidential Information and to use it only for purposes related to the provision and receipt of the Services.

8. Term and Termination

  • Initial Term: The Terms & Conditions are effective for an initial period of 3 months from the Effective Date.
  • Renewal: Upon the end of the initial term, both parties must mutually agree to extend the Services for a further 12 months. If no agreement is reached, the Services will cease.
  • Termination: Either party may terminate these Terms & Conditions with 90 days’ written notice. Immediate termination is allowed under certain conditions, such as material breach or insolvency.

9. Liability
Studio Lore’s liability in connection with the Services shall be limited as permitted by law, and the Agency will indemnify the Client against certain losses arising from the provision of the Services.

10. General Provisions
These Terms & Conditions constitute the full agreement between Studio Lore and the Client concerning the Services provided. This agreement is subject to the governing laws of Victoria and the applicable Federal laws of Australia. Should any disputes arise from these Terms & Conditions, the parties agree to first seek resolution through negotiation. If resolution cannot be reached, legal proceedings may be initiated as necessary.

Acceptance:
By engaging Studio Lore for advertising services, the Client agrees to these Terms & Conditions as the complete understanding between the parties.
